Dividend policy

The principle of the dividend policy is to make payments according to the amount of Enea SA generated profit and financial capacity. The Enea SA Management Board, by submitting proposals for the dividend payment,  is guided by the need to ensure liquidity and capital necessary to develop our business.

The intention of the Enea SA Management Board is to put forward a motion to the general meeting to pay dividend at a level from 30% to 60% of the net profit indicated in the standalone financial statement of the Company prepared in accordance with the International Financial Reporting Standards. Dividend payment will be possible when the projected expenditures for development and investment financed with equity, are smaller than the expected level of free cash flow in the Company during the financial year in which the dividend is paid.

  • How do I get entitled to dividend from Enea SA shares?

    Each shareholder gets entitled to dividend from Enea shares, when shares are in his/her possession at the so-called dividend record date.

    Dividend record date is specified in the form of a resolution by the Annual General Meeting of Enea SA Dividend record date  from the profit generated in 2016 was established for 24 July 2017.

  • When to purchase Enea SA shares to be entitled to dividend?

    Please note that settlement period T+2 is in effect starting from 6 October 2014. This means that shares purchase will be settled during the second session from the order.

    As a result, so as to have shares entitled to dividend from 2016 earnings on the investment account on the record date, i.e. 24 July 2017, it is necessary to place an order to buy them not later than on Thursday 20 July 2017.

     

  • When will I receive funds from the dividend?

    Dividend payment date for 2016 was established for 10 August 2017. The dividend payment date is specified in the form of a resolution by the Annual General Meeting of Enea SA.

  • What will be the amount of dividend paid?

    The amount of dividend depends on:

    • the amount of dividend per share  (i.e. gross)
    • number of shares from which dividend is paid
    • mandatory tax associated with obtaining income from dividend

    Dividend from profit for 2016 was adopted at the level of PLN 0.25 per share – it is gross value, which must be reduced by income tax.

    The amount of funds from dividend paid from the profit for 2016 which will be received by the shareholders is thus:

    (PLN 0.25 x number of shares) – capital gains tax

    The amount of flat-rate income tax from dividends amounts to 19%.

    Enea SA is the tax payer. Tax is collected prior to the payment of funds to shareholders, and then it is passed automatically to the account of the tax office.

  • What should I do to receive dividend when the shares are on my brokerage account?

    In the case of shareholders who hold Enea SA shares on the investment account, the dividend will be paid automatically on the dividend payment date. Furthermore, no action on the part of the shareholder is required. Funds from the paid dividend may be freely used by the shareholder on the basis of instructions placed to entity maintaining the investment account.

  • May the dividend payment instruction be submitted by an attorney?

    In principle it is possible, however, to obtain information about the exact procedure, please contact your brokerage house.

In case of any interpretation doubts and discrepancies between the Polish and English versions, the Polish version shall prevail.
